Please read these Terms and Conditions carefully before purchasing or using our products or services.

By purchasing a product or service from Copia Learning, you agree to these Terms and Conditions.

Nothing in these Terms and Conditions affects any rights you may have under applicable UK consumer law.

3. Our Website

We aim to ensure that information provided on the Copia Learning website is accurate and up to date.

We may update, amend, remove or add website content from time to time.

We do not guarantee that the website will always be available without interruption or that every feature will always be available.

We may temporarily suspend access where reasonably necessary for maintenance, security, technical reasons or circumstances outside our reasonable control.

4. Our Training Products and Services

Copia Learning may provide products and services including:

  • bespoke workplace and corporate training;

  • online training programmes;

  • video-based learning;

  • digital training materials;

  • downloadable resources;

  • guides and supporting materials;

  • workplace learning resources;

  • live or facilitated training;

  • other learning products and services described on our website.

The precise content, format, duration, access arrangements and price of a product or service will be described on the relevant website page, quotation, proposal, order confirmation or other documentation supplied to you.

5. Placing an Order

When you place an order through our website or otherwise agree to purchase a Copia Learning product or service, you are offering to purchase that product or service subject to these Terms and Conditions and any additional terms made clear to you before purchase.

A contract is formed when we accept your order or otherwise confirm that we have agreed to provide the relevant product or service.

We reserve the right to decline an order where reasonably necessary, including where a product is unavailable, a pricing or description error has occurred, payment has not been authorised or we are unable to provide the requested service.

6. Prices and Payment

Prices will be displayed on our website or provided in a quotation or proposal.

We will make clear whether applicable taxes are included in the stated price where required.

Payment must be made using one of the payment methods made available by Copia Learning.

Where payment is processed by a third-party payment provider, that provider may also apply its own terms and privacy arrangements.

You are responsible for providing accurate billing and payment information.

For bespoke training or services, specific payment arrangements may be set out in a quotation, proposal, invoice or separate agreement. Where those terms differ from these general Terms and Conditions, the specific terms agreed for that service will take precedence in relation to that service.

7. Digital Training and Course Access

Where you purchase digital training, online courses, videos or other online learning materials, we will provide access in the manner described at the time of purchase.

Access may be provided through the Copia Learning website or another learning or technology platform used by us.

Unless otherwise stated at the time of purchase, access is provided only to the individual purchaser or to the number of authorised users or employees covered by the relevant licence or agreement.

Login credentials must not be shared with unauthorised users.

Where an organisation purchases training for multiple employees or participants, access is limited to the number of users included in the package or licence purchased.

8. Organisational and Corporate Purchases

Where an organisation purchases Copia Learning training for its employees, workers, managers or other participants, the organisation is responsible for ensuring that access is provided only to authorised participants.

The organisation must not provide access to more users than permitted by the relevant purchase, licence, quotation or agreement.

Pricing for organisational access may depend upon factors such as the number of users, nature of the training, level of customisation and period of access.

Additional terms may be agreed for bespoke corporate training, commissioned programmes or organisation-wide licences.

9. Intellectual Property

Unless expressly stated otherwise, all intellectual property rights in the Copia Learning website and our training materials belong to Copia Learning or are used by us under appropriate licence.

This includes, where applicable:

  • training videos;

  • course content;

  • presentations;

  • written materials;

  • guides;

  • worksheets;

  • downloadable resources;

  • graphics;

  • branding;

  • logos;

  • assessments;

  • learning exercises; and

  • other original training content.

Purchasing or accessing our training does not transfer ownership of these intellectual property rights to you.

10. Licence to Use Training Materials

When you purchase or are provided with access to Copia Learning training materials, we grant you a limited, non-exclusive and non-transferable right to use those materials for the purposes and audience covered by your purchase or agreement.

Unless we have given prior written permission, you must not:

  • reproduce or republish our training materials;

  • sell, resell or sublicense them;

  • distribute them outside the authorised organisation or audience;

  • share login credentials with unauthorised people;

  • upload our materials to another website or learning platform;

  • record, copy or redistribute training videos;

  • remove copyright, branding or ownership notices;

  • modify our materials and present them as your own; or

  • use our materials to create competing commercial training products.

Reasonable internal use by an organisation is permitted where that use falls within the licence or package purchased.

11. Bespoke Training

Where Copia Learning creates bespoke training or learning materials for a customer, the scope, price, delivery arrangements and permitted use of those materials may be set out in a separate proposal, quotation or agreement.

Unless expressly agreed otherwise in writing, Copia Learning retains ownership of its underlying methodologies, frameworks, know-how, templates and pre-existing intellectual property.

Any specific intellectual property rights created exclusively for a customer will be governed by the terms agreed for that project.

12. Accuracy and Educational Purpose

We take reasonable care in preparing our training content and aim to ensure that information is accurate and appropriate at the time it is produced.

Training and educational materials are provided for general learning and workplace-development purposes.

They should not be treated as a substitute for legal, medical, financial or other regulated professional advice where such advice is required.

Organisations remain responsible for their own policies, procedures, decisions and compliance obligations.

13. Cancellations and Consumer Rights

If you purchase products or services from Copia Learning as a consumer online or at a distance, you may have statutory cancellation rights.

Where applicable, you will normally have a 14-day cancellation period in accordance with UK consumer law.

Different rules can apply where digital content is supplied immediately.

If you ask us to provide digital content during the cancellation period, we may ask you to expressly agree to immediate supply and acknowledge that, once supply of the digital content begins, you may lose your statutory right to cancel that digital-content purchase.

Where services are requested to begin during a statutory cancellation period, additional rules may apply.

Nothing in these Terms and Conditions limits or excludes any cancellation, refund or other rights that you are entitled to under applicable consumer law.

14. Refunds

Where you have a statutory right to a refund, we will provide that refund in accordance with applicable law.

For purchases made by businesses or organisations rather than consumers, cancellation and refund arrangements may be specified in the quotation, proposal, booking confirmation or other agreement relating to the service.

If you believe you are entitled to cancel a purchase or receive a refund, please contact:

Email: info@copialearning.co.uk
Phone: 01794 339 938

We will consider your request in accordance with the applicable agreement and your statutory rights.

15. Live and Bespoke Training Cancellations

Specific cancellation or rescheduling arrangements may apply to live training, facilitated sessions, consultancy or bespoke programmes.

Where applicable, these arrangements will be communicated before the booking is confirmed or included in the relevant quotation, proposal or agreement.

If Copia Learning needs to cancel or reschedule a live training session, we will make reasonable efforts to provide an alternative date or appropriate remedy.

Nothing in this section affects rights or remedies available under applicable law.

16. Acceptable Use

You must not use the Copia Learning website, courses or services:

  • unlawfully;

  • fraudulently;

  • to interfere with the operation or security of the website;

  • to attempt to gain unauthorised access to systems or accounts;

  • to distribute malicious software;

  • to infringe our intellectual property rights or those of another person;

  • to make training materials available to unauthorised users; or

  • in any way that could reasonably damage Copia Learning, our website, our services or other users.

We may suspend or terminate access where we reasonably believe these Terms and Conditions have been materially breached.

17. User Accounts

Where an account is required to access training or services, you are responsible for keeping your login information confidential.

You should notify us promptly if you believe your account has been accessed without authorisation.

We may suspend an account where reasonably necessary to protect the security of our website, training materials, systems or users.

18. Third-Party Services and Links

Our website or training services may contain links to, or integrate with, third-party websites, platforms or services.

Third parties operate under their own terms, policies and practices.

We are not responsible for the content or availability of third-party websites that are outside our control.

19. Availability of Digital Services

We aim to provide reliable access to our online training and digital services.

However, online services can occasionally be affected by maintenance, technical faults, internet outages or circumstances beyond our reasonable control.

Where a material interruption to a paid service occurs, we will take reasonable steps to restore access or provide an appropriate remedy where required.

20. Our Responsibility to You

Nothing in these Terms and Conditions excludes or limits liability where it would be unlawful to do so.

In particular, nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

If you are a consumer, your statutory rights are not affected by these Terms and Conditions.

Where permitted by law, Copia Learning will not be responsible for losses that were not reasonably foreseeable when the contract was formed or losses resulting from circumstances outside our reasonable control.

If you purchase our products or services wholly or mainly for business purposes, additional limitations of liability may be contained in the specific contract, proposal or agreement governing those services.

21. Events Outside Our Reasonable Control

We will not be responsible for delay or failure to perform an obligation where this results from circumstances outside our reasonable control.

Such circumstances may include significant internet or technology failures, interruption to third-party platforms, natural disasters, serious illness, government action or other events that could not reasonably have been prevented.

Where this materially affects a service you have purchased, we will take reasonable steps to communicate with you and minimise disruption.

22. Privacy and Cookies

Your privacy is important to us.

Our Privacy Policy explains how we collect, use, store and protect personal information.

Our Cookies Policy explains how cookies and similar technologies are used on the Copia Learning website.

These policies should be read alongside these Terms and Conditions.

23. Changes to These Terms

We may update these Terms and Conditions from time to time to reflect changes to our website, services, business practices or applicable law.

The latest version will be published on our website with the date of the most recent update.

Changes will not retrospectively remove rights that have already arisen under an existing contract.

Where a material change affects an ongoing paid service, we will provide appropriate information about the change where required.

24. Complaints

We want customers to be satisfied with Copia Learning products and services.

If you have a problem or complaint, please contact us so that we can try to resolve it.

These Terms and Conditions and any dispute or claim arising from them are governed by the laws of England and Wales.

If you are a consumer, you will retain any mandatory protections and rights relating to the courts available to you under applicable law.

If you are purchasing wholly or mainly for business purposes, the courts of England and Wales will have jurisdiction unless otherwise agreed in writing.

26. General Provisions

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will continue to apply.

A delay by Copia Learning in exercising a right under these Terms does not mean that we have waived that right.

No person other than you and Copia Learning will normally have rights to enforce these Terms unless expressly stated otherwise.
